Terms of Service
Version 1.0 — effective 11 October 2026. Supersedes the version of 1 January 2026.
Vigil is operated by Računalniške storitve, Tadej Nitič s.p. ("Nitech", "we", "us", "our"), a sole proprietor (samostojni podjetnik) registered in the Republic of Slovenia, registration number 9777300000, tax number 27253775 (VAT identification SI27253775 under Article 76.a ZDDV-1; not a VAT payer), registered office Štihova ulica 13, 1000 Ljubljana. These Terms of Service ("Terms") govern access to and use of the Vigil web application, API and related services (the "Service"). By creating an account, clicking to accept, or using the Service, you agree to them. If you accept on behalf of a company, you confirm you are authorised to bind it, and "you" means that company.
Who Vigil is for. Vigil is built for e-commerce retailers and agencies, and most customers are businesses — but anyone may use it. Sole traders, freelancers and individuals tracking prices for their own purposes are equally welcome. If you use Vigil outside your trade, business or profession you are a consumer under EU and Slovenian law, and Section 15 sets out the additional rights that gives you. Where you and we have signed a Master Services Agreement, that agreement governs and these Terms apply only where it is silent.
1. What the Service does, and what it does not
Vigil monitors publicly accessible product and pricing pages that you select, records what it finds, detects changes, and notifies you. On plans that include it, Vigil can also connect to your own online store to compare your prices against the market and, if you enable and configure it, update your own prices automatically ("Dynamic Pricing").
- We read pages, we do not receive feeds. Extraction is automated and depends on the structure of third-party pages, which can change, break, block automated access, or disappear without notice. Results can be incomplete, delayed or wrong.
- Some pages are read with the help of an AI model. On plans that include AI-assisted extraction, the visible text of a monitored page may be sent to our AI subprocessor to interpret it. AI output is probabilistic and is not guaranteed to be accurate.
- Dynamic Pricing changes real prices in your store. It does what your rules tell it to. Section 6 sets out the division of responsibility, which is not symmetrical: the rules, the floors and the decision to switch it on are yours.
Verify anything commercially significant against the source page before you act on it. The Service is decision support, not a decision.
2. Your account
You must give accurate registration details and keep them current. You are responsible for your credentials, for everything done under your account, and for the acts of every user you allow in. Tell us immediately at info@nitech.si if you suspect unauthorised access. We offer optional two-factor authentication and strongly recommend enabling it on every account with billing or Dynamic Pricing access. You must be at least 16 and legally able to enter contracts.
3. Acceptable use
You agree not to, and not to permit anyone else to:
- monitor pages you have no legitimate business reason to track, or use the Service to harass, surveil or profile individuals;
- use the Service to collect personal data about individuals as an objective — it is built for product and price data;
- attempt to defeat rate limits, plan limits, authentication or any other security or access control;
- use the Service in breach of applicable law, of a monitored website's terms of use, or of a third party's rights, including database, copyright and competition rights;
- use the Service, or price data obtained through it, to coordinate prices with a competitor or otherwise infringe competition law. Vigil is a tool for observing public prices, not for agreeing them;
- resell or sublicense the Service except as permitted for agency use under Section 4;
- reverse engineer or copy the Service, or use it to build a competing product;
- impair the integrity or performance of the Service or its infrastructure.
How Vigil accesses third-party pages. Our crawler identifies itself honestly (vigil-price-monitor/1.0), reads and obeys robots.txt, does not rotate IP addresses or use residential proxies, does not attempt to solve or bypass bot protection or captchas, and never crosses a paywall or a login. We will not change this at a customer's request. If a site blocks us, the check fails and we report it as failed; we do not route around it.
Your responsibility for the URLs you add. You choose what to monitor, and you confirm that for each URL you have a legitimate business interest and that monitoring it complies with the target site's terms and applicable law. We may remove a URL, suspend a check, or suspend an account on a credible complaint, a legal demand, or a technical block from a monitored site.
4. Agency and multi-client use
The Agency and Enterprise plans permit use on behalf of your own clients, labelling monitored companies by client, and issuing read-only share links to client-facing reports. You remain fully responsible to us for your account; you must have your client's authority for the monitoring you carry out; and share links are bearer credentials with an expiry — anyone holding the link can see the shared report until it expires or you revoke it. Where you are a data controller and we process personal data for you, our Data Processing Agreement applies.
5. Plans, trials, fees and billing
Merchant of record. Paid subscriptions are sold by Polar Software, Inc. ("Polar"), our authorised reseller and merchant of record, not by Nitech directly. Polar is the seller on your invoice, charges your payment method, and collects and remits VAT and sales tax, so your purchase is also subject to Polar's terms. Nitech provides the Service itself and remains responsible for it under these Terms. We never receive or store your full card number.
Plans and limits. Current plans, prices and limits are published on our pricing page and enforced in the product: Starter €19, Growth €99, Scale €199, Agency €299 and Enterprise €599 per month, or a year in advance at the annual price shown there. Prices are in euro and exclude VAT and any other applicable sales tax, which Polar adds at checkout. Agency and Enterprise accounts may add extra connected stores at €19 per store per month, as additional seats on the same subscription. Checks run at most once every 24 hours on Starter, Growth and Scale, and at most every 8 hours on Agency and Enterprise. Limits are account-wide pools, not per-company allowances.
Free trial. A new subscription includes a 14-day free trial. A payment method is required to start it; you are not charged until it ends. There is one trial per account, ever — cancelling and subscribing again does not earn another. Trials are offered at our discretion and we may change or withdraw the offer for future subscriptions.
Renewal and changes. Subscriptions renew automatically at the end of each billing period — a month, or a year on an annual plan — until cancelled. Upgrades take effect immediately and are charged pro rata; downgrades take effect immediately and are credited pro rata; seat changes are prorated the same way. Downgrading reduces your limits: we keep your data but stop acting on what is over the line, and where a downgrade forces a choice between connected stores we ask you to choose.
Cancellation. Cancel at any time from your account settings. Cancellation takes effect at the end of the period you have already paid for — we do not cut off access the moment you click, and we do not refund the remainder. Until that date you can resume and keep everything as it was.
Failed payment. If a payment fails we may keep the account in a grace period while the provider retries. If it is not resolved, the subscription is revoked and the account reverts to no active plan.
Price changes. We may change prices for future billing periods with at least 30 days' notice, applying from your next period. If you do not accept, cancel before it takes effect.
Refunds. See our Refund Policy, which forms part of these Terms.
6. Dynamic Pricing — division of responsibility
Dynamic Pricing writes prices to your live store. Read this before you enable it.
- It is off by default. Every account starts with the account-wide safety brake engaged.
- The rules are yours. You define the rules, floors, rounding and the stores they apply to; we execute the configuration we are given.
- Floors are your protection, and you must set them. A rule without a sensible floor can price a product below cost. We provide the mechanism; we do not know your margins.
- You supply your own store credentials, created and revocable by you. We store them encrypted (AES-256-GCM) and use them only to read your catalogue and write the changes your rules produce.
- Review the audit log. Every preview and applied change is recorded. It is your record of what happened.
- We are not responsible for the commercial consequences of your rules — lost margin, mispriced sales, or orders fulfilled at a price you did not intend. We are responsible, per Section 11, for the Service failing to work as described.
- Stop button. Engaging the account-wide brake, disconnecting a store, or revoking the credential in your store admin stops all writes immediately.
7. Your data and your content
You retain all rights in the data you put into the Service and the monitoring records we generate from it ("Customer Data"). You grant us a non-exclusive, worldwide licence to host, process, transmit and display Customer Data solely to provide, secure, support and improve the Service for you, and to comply with law.
We do not sell Customer Data and we do not use it to train machine-learning models. Where the Service uses a third-party AI model to read a monitored page, that provider is contractually bound not to train on our API inputs. We may compile aggregated, de-identified statistics that identify no one, and use them to operate and improve the Service. You can export price history and reports to Excel, and download a copy of everything in your account from Settings, at any time while your account is active.
8. Availability, support and changes
We aim to keep the Service available and to fix faults promptly, but these Terms carry no uptime commitment; a contractual service level with credits is available only under a Master Services Agreement. Support is by email to info@nitech.si, in Slovenian or English, during Slovenian business hours, targeting a first response within 2 business days. We may add, change or remove features, but will not materially degrade a core function of a paid plan without at least 30 days' notice — and if we do, you may cancel and receive a pro-rata refund of the unused paid period.
9. Term, suspension, termination and deletion
We may suspend access immediately where your use threatens the security, integrity or availability of the Service or a third party, where Section 3 is materially breached, where payment has failed beyond the grace period, or where the law requires it — telling you why unless prohibited. You may close your account at any time. We may terminate for material breach not cured within 15 days of notice, or on 60 days' notice if we discontinue the Service, refunding the unused portion of any prepaid period.
What happens to your data:
- Monitoring history (change events and page snapshots) is retained for 6 months on a rolling basis and pruned automatically, whether or not your account is active. Snapshot files are additionally kept only for the two most recent captures per monitored URL.
- After termination, Customer Data remains available for export for 30 days.
- After that we delete Customer Data from active systems within 30 days, except data we must retain for tax, accounting or legal-defence purposes, aggregated de-identified statistics, and copies in routine backups, which are overwritten on a rolling cycle not exceeding 30 days.
Sections 3, 7, 10, 11, 12, 13 and 16 survive termination.
10. Intellectual property
The Service, its software, design, branding and documentation are owned by Nitech. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription, for your own business purposes and, on the Agency and Enterprise plans, for your clients. No rights in our trademarks or branding are granted. If you send us feedback, we may use it without restriction or obligation.
11. Warranties, disclaimers and liability
We warrant that we will provide the Service with reasonable skill and care, in accordance with the description in Section 1, and in compliance with applicable data protection law.
Except as stated above, and to the maximum extent permitted by law, the Service is provided "as is" and "as available", and we disclaim all other warranties, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and the completeness, currency or accuracy of extracted data. We specifically do not warrant that any given third-party page can be read, that a monitored site will remain accessible, that AI-assisted extraction will be correct, or that Dynamic Pricing will produce a commercially desirable outcome.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, punitive or consequential loss, or for loss of profit, revenue, goodwill, anticipated savings, business or data. Our total aggregate liability relating to the Service is limited to the total fees paid in the 12 months immediately preceding the event giving rise to the claim, or €500 where no fees have been paid. Nothing limits liability that cannot be limited by law, including for death or personal injury caused by negligence, fraud, or wilful misconduct.
You will defend and indemnify us against third-party claims arising from your breach of Section 3, the URLs and content you chose to monitor, prices set in your store by rules you configured, or your breach of data protection law as a controller.
12. Confidentiality
Each party will use the other's non-public information only for the purposes of these Terms, protect it with at least reasonable care, and disclose it only to personnel and advisers who need it and are bound to confidentiality. This does not apply to information that is public through no breach, independently developed, or lawfully received from a third party, and does not prevent disclosure required by law.
13. Data protection
Our Privacy Policy explains what personal data we handle as controller and why. Where we process personal data on your behalf, our Data Processing Agreement applies and is incorporated by reference — it is concluded automatically when you accept these Terms, and we will sign a copy on request. Our current subprocessors are listed at /subprocessors.
14. Changes to these Terms
We may update these Terms. For material changes we will give at least 30 days' notice by email or in the Service. Continued use after the effective date is acceptance; if you do not accept, cancel before then and we will refund any unused prepaid period.
15. If you are a consumer
Individuals are welcome to use Vigil. If you contract with us as a consumer under Slovenian and EU law — that is, for purposes outside your trade, business or profession — then: nothing here limits your mandatory statutory rights; you have a 14-day right of withdrawal from a distance contract, subject to the rules on digital services supplied immediately (in practice the free trial means no consumer is charged within that period) — the instructions and the model withdrawal form are at /withdrawal; the liability cap above does not apply where consumer law does not permit it; and you may bring proceedings in the courts of your country of residence.
As the Slovenian Out-of-Court Resolution of Consumer Disputes Act (ZIsRPS) requires us to state: we do not currently recognise any out-of-court dispute resolution provider as competent for consumer disputes with us. That does not limit your rights — write to info@nitech.si and we will handle your complaint directly, and you may take any dispute to the competent court. Consumers in other EU member states can get free advice from the European Consumer Centre network.
16. General
These Terms are governed by the laws of the Republic of Slovenia, excluding conflict-of-law rules and the CISG, and the courts of Ljubljana have exclusive jurisdiction, subject to Section 15 for consumers. Mandatory consumer protections of your country of residence are unaffected. You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger, acquisition or sale of assets, on notice. These Terms, with the Privacy Policy, Cookie Policy, Refund Policy and DPA — and any Master Services Agreement or Order Form — are the entire agreement between us. If a provision is unenforceable it is limited or severed and the rest remains in force; not enforcing a provision is not a waiver. Neither party is liable for failure caused by events beyond its reasonable control, excluding payment obligations. Notices to you go to the email on your account or in-product; notices to us to info@nitech.si, and formal legal notices to Štihova ulica 13, 1000 Ljubljana, Slovenia.
